How a Sale Runs With Us

Most sales follow the same five stages. The pace depends on your records and how quickly a buyer's lender moves.

  1. 1

    Private valuation

It begins with a phone or video call, followed by a look at your returns, financial statements, lease and equipment list. You receive a value range, the add-backs supporting it and a brief list of what would push it higher.

  2. 2

    Getting ready

Together we choose which fixes are worth making before listing. Next we write the confidential information memorandum that buyers receive once they sign a nondisclosure agreement.

  3. 3

    Discreet marketing

The blind listing reaches registered buyers before going out more broadly. Each inquiry is checked for funding and fit before any names change hands.

  4. 4

    Offers and the LOI

We help you weigh each offer on price, cash at closing, seller financing, the training period and non-compete terms, not only the top-line figure.

  5. 5

    Diligence through closing

We move documents among the buyer, the lender, your accountant and the attorneys, watch the deadlines and solve problems as they arise until the money is wired and the keys are handed over.

Brokerage for Sellers, Buyers and Partners

Most of our work is helping owners sell a business, and every sale starts with a business valuation built from your tax returns and books. We also guide buyers through finding a company, checking it and lining up acquisition financing. For owners who are not ready to list yet, exit planning, partner buyouts and succession, franchise resales, business and property sales, and mergers and acquisitions each have their own page below.

  • Sell a Business

Confidential marketing, screened buyers and a clear fix-or-sell-now answer at the start, with no fee until your deal closes.

  • Business Valuation

A written value range built from your recast earnings, assets and comparable sales, with a clear read on what would raise the number.

  • Buy a Business

We help buyers find, vet and negotiate for an established business or franchise, and we tell you plainly when a listing is not worth chasing.

  • Exit Planning

Find the issues that cut your sale price, decide which ones are worth fixing, and set a realistic timeline for leaving your business.

  • Mergers and Acquisitions

Help combining with, buying or selling to another company, from valuation and deal structure through due diligence and closing.

  • Franchise Resales

Selling or buying an existing franchise unit, with the transfer clause, franchisor approval, training and lease assignment planned into the deal from day one.

  • Business and Property Sales

We price and market an operating business together with the land and building it owns, or structure a lease when keeping the property makes more sense.

  • Acquisition Financing Guidance

We help buyers and sellers match a business purchase to a loan, a seller note or a mix of both, and show which structures a lender will accept.

  • Partner Buyouts and Succession

We value a departing partner's share, check it against your buy-sell agreement and build payment terms the remaining owners can carry without straining the business.

About Elgin Business Broker

Elgin Business Broker represents owners of privately held small and mid-sized companies in and around Elgin, Texas, along with the buyers looking to take them over. Plenty of our sellers built a shop, a service company or a franchise over decades and now want an exit that pays fairly and leaves their staff in good hands.

Our approach is simple. We read the business the way a buyer and a lender will, point out what can be fixed cheaply while there is still time, and say so plainly when a full sale, a partner buyout or waiting another year makes more sense. You can sit down with us in person at our office, or we can work through the details over a phone or video call if that fits your schedule better.

What Sets the Price of Your Business

A buyer is paying for the cash the business will earn, less a discount for risk. Most of your price depends on how credible your earnings look and how smoothly they pass to someone new. We weigh these factors in every valuation.

The valuation costs nothing, stays private and explains how we reached the number. We are paid from the sale proceeds at closing, never billed ahead of time.

How solid the earnings are
Reconciled books and tax returns that agree with the profit and loss statement justify a higher multiple. Cash sales that never made it into the books can't be counted, however real they were.
How much it relies on you
When customers dial your cell and you are the only one who can price a job, buyers see risk. Written processes and a trained second-in-command add more value than nearly anything else you can change.
Reliance on a few customers
If a single client accounts for a quarter or more of revenue, buyers and lenders grow wary. Signed contracts, a longer history or a wider customer base all ease that concern.
Your lease or property
Lenders generally want the lease to last at least as long as the loan. A lease that can be assigned and renewed makes selling much easier, and owning the building makes a combined business and property sale possible.
Equipment, inventory and working capital
The shape of the equipment, inventory valued at cost and the working capital that stays behind all affect what a buyer pays at closing. We write down exactly what comes with the sale so nobody argues about it at the table.
Structure and timing of the deal
An asset or stock sale, seller financing, earnouts and the tax allocation of the price all change what you walk away with. A flat or growing trailing twelve months sells more easily than a shrinking one.

Why Owners Bring Their Sale to Us

A business sells on its earnings, its records and how much it depends on you. We look at all three ahead of any talk about a listing price.

  1. 01

We tell you what to fix and what to leave alone

Some problems cost little to correct and lift the price a buyer will pay: a lease with eighteen months left, books that mix personal and business expenses, no written process for the work only you know how to do. Others, like replacing aging equipment in the final months of ownership, often cost more than they add. We say which is which, and when selling as-is is the smarter deal, we tell you that too.

  2. 02

Valuations built from your actual returns

We recast three years of tax returns and profit and loss statements to find seller's discretionary earnings, documenting each add-back so a buyer's lender can follow it. A number that survives due diligence is worth more than a high number that falls apart in week three.

  3. 03

    Confidential marketing

Your listing goes out as a blind profile with no name or address. Buyers sign a nondisclosure agreement and show they can fund the deal before they see your financials, so your employees, customers and competitors are not the first to hear.

  4. 04

Paid only when the seller is paid

Signing a listing with us costs you nothing up front. We do not ask for a retainer, and the agreement carries no hidden fees. Our commission is taken from the proceeds at closing, which keeps our attention on deals that will actually close.

  5. 05

    A screened pool of buyers

People on our registered buyer list hear about each new listing before it is marketed anywhere else. Early on, we ask every buyer how much liquid capital they hold, what they have managed before and how they plan to fund the purchase. That way your hours go to the people with a real path to closing.

What Owners Ask Us Most

Something not covered here? (512) 881-0683

How do you work out what my business is worth?

For most small companies the starting point is seller's discretionary earnings: net profit with your salary, owner perks, interest, depreciation and one-time costs added back. We multiply that by a figure drawn from your industry, size, risk and recent comparable sales, then test it against your assets and what a lender would fund. You see the reasoning, not only the result.

What will listing my business cost me?

Nothing up front. There is no retainer and no hidden fee. Our commission is taken from the proceeds at closing, so we get paid only when you do, and the fee is put in writing before you sign a listing agreement.

How is the sale kept private?

Buyers start with a blind profile that leaves out the name and location. To see financials or learn who you are, they sign a nondisclosure agreement and prove they have the funds. Site visits can happen after hours, and we plan with you when and how key employees are told.

Do I fix problems first or sell as-is?

That comes down to whether the fix pays back. Tidying your books, renewing a lease or writing down how the work is done is usually cheap and adds real value. Large equipment purchases in your final year rarely earn back their cost, so then we price the business honestly as it is.

How long will a sale take?

It depends on price, industry and how ready your records are. Clean books and a lease that transfers speed things up, while lender financing adds time for underwriting and appraisals. After the valuation we give you a realistic schedule.

How do buyers typically fund a purchase?

Many small acquisitions combine an SBA 7(a) loan, a down payment from the buyer and often a seller note for part of the price. Some buyers pay cash or find other financing. Our acquisition financing guidance page shows how the pieces fit.

I'm looking to buy. How do I find out what's for sale?

Register as a buyer by phone. We ask about your budget, background and the kind of company you are after, and registered buyers see every new listing before it is advertised anywhere else. After signing a nondisclosure agreement, you can go through the full details of any listing that fits.
